Corporate Governance
Our core values are integrity and ethics. We strive to meet the highest ethical standards in all business dealings while being honest with others and ourselves. To maintain integrity, Norris Industries holds its workforce to the highest standards of business honesty and integrity and encourages employees to report questionable conduct. We believe in being transparent with and responsive to our shareholders at all times while striving to comply with all applicable laws when conducting company business. Our Board of Directors, which oversees all of the company’s business and affairs, is committed to strong corporate governance structures and practices that guide our company toward achieving world-class results with the right way.
At Norris Industries, we have structures and processes in place to make sure that our company’s decisions and actions are in the best interests of our shareholders. We value transparency with responsiveness to our shareholders by engaging them transparently and responsively through regular reports, press releases, investor relations portal and meetings to discuss governance, financial, execution and policy issues. Shareholders can direct inquiries to our Board of Directors at any time.
We are constantly looking for effective ways to improve our corporate governance, including recruiting an independent board director member where all directors stand for election every year, which is critical to our long-term success. We might have directors who are nonemployees and independent; the board annually elects a chairperson; and a lead independent director. In addition, our shareholders have the right to suggest special meetings and recommend director candidates to the board.
